The firm assisted Nextalia SGR S.p.A. in signing, on behalf of the Nextalia Private Equity Fund, a binding agreement to purchase from BF Agricola Società Agricola (a company headed by B.F.) and other minority shareholders, IBF Servizi, Italy’s leading operator in precision agriculture services, technological innovation and professional software solutions for the agribusiness sector.

The transaction will involve the purchase of the entire capital of IBF Servizi by a newco indirectly controlled by Nextalia, for a purchase price of 50 million euros, and the simultaneous creation of a strategic partnership with BF and its subsidiary Consorzi Agrari d’Italia S.p.A.

Fabrizio Colombo, Ira Shiku e Matteo Rovaris provided assistance in relation to the tax aspects of the transaction, while Matteo Porqueddu examined the tax aspects related to the financing of the operation.
